Terms & Conditions of Sale
Effective: January 1, 2024
These Terms & Conditions (“Terms”) govern all sales of products (“Goods”) by Guided Path Solar (“Seller”) to any customer (“Buyer”). By placing an order, Buyer agrees to these Terms.
1. Payment Terms

All orders are prepay unless otherwise agreed in writing.

Payments for prepay orders must be made within 3 days, or are subject to cancellation. Accepted payment methods: ACH, wire transfer, check, credit card, Zelle, and Venmo.

Pricing on quotes reflects a 3% cash discount. Payments made via credit card, Zelle, or Venmo may have that discount removed and added back to the invoice.

Any unpaid balance past due is subject to a 1.5% monthly finance charge (18% annually).

Buyer is responsible for any fees associated with payment methods, including wire or credit card fees if applicable.
2. Shipping & Delivery

Unless otherwise stated, shipments are made FOB Origin. Risk of loss passes to Buyer when Goods are delivered to the carrier.

Seller may arrange freight as a courtesy, but all freight charges and risks remain Buyer’s responsibility.

Shipments may be delivered under DDP or EXW terms based on individual order agreements.

Seller is not liable for delays in delivery caused by force majeure, carrier issues, manufacturer delays, supply chain disruptions, or any circumstances beyond Seller’s reasonable control.
3. Inspection & Damage Claims

Buyer is responsible for inspection upon receipt of Goods.

All freight damage or shortage claims must be reported in accordance with Seller’s freight policy, available at: https://www.guidedpathsolar.com/freight

Failure to report damage within the required time constitutes acceptance of the Goods in their delivered condition.
4. Returns & Cancellations
-
Returns and exchanges are generally not accepted, but Seller may accommodate requests at its sole discretion when reasonable and fair. Shipping charges are non-refundable. Return shipping charges should be paid for by the Buyer.

Most dropship orders are not able to be cancelled or returned.

Orders may be cancelled only with Seller’s written approval.

Cancelled orders may be subject to a restocking fee of up to 25% of the order value and/or loss of deposit.
5. Deposits

Seller may require a non-refundable deposit, negotiated per order. Deposit terms will be stated in writing as part of the sales quote or agreement.
6. Warranties
-
All warranties are manufacturer-backed. Seller makes no independent warranties.

Seller may assist Buyer in facilitating warranty claims, but assumes no responsibility for outcomes or coverage under the manufacturer’s warranty.
7. Storage Fees
-
If shipment is delayed beyond the agreed shipping date at Buyer’s request or due to Buyer’s inaction, Seller may charge $50 per pallet per month for storage unless otherwise negotiated.
8. Limitation of Liability
-
Seller’s liability is strictly limited to the value of the Goods sold. Under no circumstances shall Seller be liable for indirect, incidental, special, or consequential damages, including loss of profits, even if advised of the possibility.

Buyer acknowledges that solar product margins are low, and Seller’s risk must be reasonably limited.
9. Force Majeure
-
Seller shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, labor disputes, supply chain disruption, transportation delays, pandemics, or natural disasters.
10. Governing Law & Dispute Resolution
-
These Terms are governed by the laws of the State of Texas.

Any disputes shall be resolved in Hays County, Texas.

Buyer and Seller agree to first attempt to resolve any disputes through good-faith mediation. If unresolved, disputes shall be submitted to binding arbitration in Hays County, Texas, in accordance with the rules of the American Arbitration Association.
11. Acceptance of Goods

Buyer’s receipt of Goods constitutes full acceptance of the shipment and the Terms outlined herein.
12. Entire Agreement
-
These Terms, together with the written quote or invoice, constitute the entire agreement between the parties regarding the sale of Goods. Any conflicting or additional terms proposed by Buyer are rejected unless agreed to in writing by Seller.
